These Terms of Service (“Terms”) govern your use of our website (studiobanyan.com) and our digital services, including web design, digital marketing, and related services (“Services”). 1. Acceptance of Terms

By engaging with our Services, you confirm that:

  • You have read, understood, and agreed to these Terms, our Privacy Policy, and Refund & Cancellation Policy.

All services are subject to a mutually agreed scope of work (SOW) or service agreement.

3. User Responsibilities

  • You must provide accurate information for project execution.

  • You are responsible for timely feedback and approvals to avoid delays.

  • Unauthorized use, resale, or reverse-engineering of our work is prohibited.

4. Payments & Fees

  • Fees are as per the quoted proposal or contract.

  • A non-refundable deposit (typically 30-50%) may be required to commence work.

  • Final payment is due before project delivery (unless otherwise agreed).

  • Late payments may incur interest (18% p.a.) as per Indian contract laws.

5. Cancellation Policy (As per Indian Law)

Client-Initiated Cancellation

  • If you cancel before work begins, the deposit is forfeited; any excess payment is refunded.

  • If you cancel after work starts, you pay for work completed + a cancellation fee (up to 30%).

Studio Banyan–Initiated Cancellation

We may cancel a project if:

  • You breach contract terms (e.g., non-payment, harassment).

  • Force majeure (e.g., natural disasters) prevents execution.
    In such cases, a pro-rata refund for unfulfilled work will be issued.

6. Refund Policy (As per Indian Law)

Refunds are processed under these conditions:
Service Not Delivered – Full refund (minus payment gateway fees).
Major Breach of Agreement – Partial/full refund based on work completed.
Duplicate Payment – 100% refund of extra charges.

No Refund For:

  • Completed work meeting agreed scope.

  • Change of mind after approval.

  • Third-party costs (e.g., domain/hosting fees).

Refund Timeline: Processed within 7-14 working days via original payment method.

7. Intellectual Property Rights

  • Final deliverables (websites, designs, reports) are transferred to you after full payment.

  • We retain the right to showcase work in our portfolio (unless an NDA applies).

  • Any third-party assets (fonts, stock images) must be licensed separately.

8. Limitation of Liability

  • We are not liable for:

    • Delays due to client-side inaction.

    • Third-party service issues (e.g., hosting downtime).

    • Indirect damages (lost profits, data loss).

  • Maximum liability is capped at the total fees paid for the service.

9. Dispute Resolution & Governing Law

  • Amicable Negotiation: Disputes must first be resolved via mutual discussion.

  • Consumer Forum: Unresolved issues may be escalated to the nearest Consumer Dispute Redressal Commission (India) under the Consumer Protection Act, 2019.

  • Governing Law: These Terms are subject to laws of India, with jurisdiction in [Your State/City].

10. Modifications to Terms

We may update these Terms periodically. Continued use of Services constitutes acceptance.
